OneDealer Holdings, an international technology holding company consolidating a portfolio of specialised IT and digital transformation companies with a presence across Germany, Greece, Austria and the MENA region, has entered into a strategic joint venture with adesso SE, listed on the Prime Standard of the Frankfurt Stock Exchange, for the establishment of adesso Greece SOCIETE ANONYME (“adesso Greece“).
adesso Greece will operate as a fully-fledged national subsidiary of the adesso Group in Greece, supported by an experienced management team, with Georgios Pakos serving as CEO and Alexandros Tsaparas as CFO, focusing on digital transformation and technology platform services, including custom software development and commercialisation, systems integration, managed IT services, advisory services, and the development and commercialization of proprietary SaaS platforms and enterprise-grade technology solutions. The company will also seek to participate in public procurement and tender procedures across the public sector, financial institutions, and large corporate organisations in Greece.
KG Law Firm advised OneDealer Holdings on the full suite of transaction documents, including a comprehensive Shareholders’ Agreement governing the corporate governance framework of adesso Greece, intellectual property licensing arrangements and management services arrangements provided by both shareholders.
