The SEE Legal Member Firms Worked on Four of the Deals Shortlisted for the 2020 CEE Legal Matters Deal of the Year Awards

CEE Legal Matters announced the finalists for the CEE 2020 Deal of the Year Awards. The following SEE Legal members have participated in one or more of the four of the shortlisted deals: KALO & ASSOCIATES, Maric & Co, Divjak Topic Bahtijarevic & Krka, Polenak Law Firm, and Selih & partnerji.

1) KALO & ASSOCIATES and Odvetniki Selih & Partnerji Shortlisted for Deal of the Year in both Bosnia & Herzegovina and Serbia:

KALO & ASSOCIATES advised NLB in the transaction of the acquisition of 83% of share capital from Serbia’s Komercijalna Banka AD, in particular to its branch in Kosovo, and successfully closed in December 2020. The legal services of KALO & ASSOCIATES related to general corporate and banking issues from the perspective of the Kosovo law and jurisdiction as well as competition and merger clearance, central bank approval, and any other required regulatory approvals. The team included managing partner Ahmet Hasolli, senior associate Leonora Beka and junior associate Vjollca Hiseni.

Odvetniki Selih & partnerji advised on Slovenian regulatory and merger control issues relating to the acquisition. The team included partners Natasa Pipan Nahtigal and Mia Kalas, and senior associate Spela Remec.

2) Maric & Co Shortlisted for Deal of the Year in Bosnia & Herzegovina:

  • Restarting of Aluminij Aluminum Production Factory || Participating firm: Maric & Co

Maric & Co advised M.T. Abraham Group and Aluminij Industries which concluded a Business Cooperation Agreement with Aluminij after 10-month long negotiations with the government. The implementation of the Agreement will ultimately result in restarting of production of aluminium and re-hiring of almost 900 employees.

The team involved the partners Branko Maric, Bojana Bosnjak-London, Ezmana Turkovic, Dzana Smailagic-Hromic and attorney at law Slaven Dizdar.

3) Divjak Topic Bahtijarevic & Krka Shortlisted for Deal of the Year in Croatia:

Divjak Topic Bahtijarevic & Krka advised the US-based Devolver Digital, a video game publisher, in its acquisition of Croteam, a Croatian video games developer. The team comprised of senior partner Damir Topic and attorney at law Dina Salapic.

Croteam started in 1992 and focuses on the development of video games. The company employs 40 people and is known for its successful games Serious Sam and the Talos Principle. Its acquisition by Devolver Digital, which was completed on 19 October 2020, is Devolver Digital’s first acquisition in Europe.

4) Polenak Law Firm Shortlisted for Deal of the Year in North Macedonia:

  • Syndicated Financing for Limak’s Diamond the Pride of Skopje Project || Participating firms: Karanovic & Partners, Cakmak Avukatlik Ortakligi, GKC Partners, NautaDutilh, Polenak Law Firm, and Wiersma Mensonides

Polenak Law Firm advised Limak DOO Skopje as borrower in project financing for the development and construction of Diamond the Pride of Skopje, Mixed-use Project in Skopje, North Macedonia of up to EUR 126,200,000 syndicated term loan facility. The work involved transaction structure advice taking into consideration the specifics of the Macedonian laws, review of the facility agreement and the security agreements, and the negotiation of the transaction documents. Polenak Law Firm’s team was led by partners Tatjana Shishkovska and Aleksandar Dimic.

The winners will be announced at the annual CEE Deals of the Year Awards Banquet scheduled for 3 June 2021 in London.
