Sojaprotein is one of the leading soybean processing companies in Europe. Sojaprotein is part of Victoria Group which has been recently acquired by MK Group through debt to equity swap. Following the disposal of laboratory testing, bio-pharma and edible oil business, MK Group is planning to sell Sojaprotein unit from its portfolio.

The Don Don Group, a lead regional industrial bakery with eleven production plants in Slovenia, Croatia and Serbia, and selling also to the markets of Bosnia and Herzegovina, Montenegro, Bulgaria and Albania, has undergone a EUR 36 million cross-border syndicated debt refinancing.

Concentrations Between Undertakings – What To Watch For
The Slovenian Competition Protection Agency (“CPA”) reports that it has initiated merger filing proceedings against the Croatian company Agrokor d.d. in respect of the concentration between Agrokor AG (Switzerland), which is part of the Agrokor group, and Ardeya Global Ltd. (UAE) which owns the Slovenian company Costella d.o.o. (“Costella”). The proceedings were initiated as a result of a potential failure to notify the CPA of a concentration which is subject to the provisions of the Slovenian Prevention of Restriction of Competition Act (“PRCA”).
Legal Restriction of Trans Fat in Foodstuffs in Slovenia
Rules governing the maximum permitted level of trans fatty acids (trans fats) in foodstuffs were adopted in Slovenia on 19 March 2018, shortly after their reduction was included as a strategic objective of the Slovenian National Program on Diet and Physical Activity for Health 2015-2025.
At the beginning of April, a 12-month transition period allowing for stock depletion will come to an end, and foodstuffs with a high trans fat content may no longer be sold.
BDK Advokati Advises Coca Cola HBC on the Acquisition of Serbian Confectionary Firm Bambi
Coca Cola HBC AG has penned an agreement with Mid Europa Partners to acquire Bambi a.d. for an enterprise value of EUR 260 million. By this acquisition, Coca Cola HBC will add to its beverage portfolio snack brands well-known in the Balkan region, such as Bambi, Plazma, Wellness and Zlatni Pek. The deal is expected to close in the second quarter of 2019 upon issuance of relevant merger clearances.
